Returns & Cancellation Policy
This Returns and Cancellation Policy governs the terms under which returns, cancellations, and related commercial issues are managed by users transacting through the Ind2B platform, accessible via www.ind2b.com and any associated mobile or web-based applications. This Policy applies to all users of the Platform, including buyers, sellers, agents, logistics partners, and authorized business representatives.
For the purposes of this Policy, "User" means any individual or legal entity that accesses, registers on, or otherwise uses the Platform to conduct, facilitate, or manage trade activities, whether for purchase, sale, representation, or fulfillment of commercial transactions.
Nature of the Platform
Ind2B is a neutral B2B digital marketplace that facilitates interactions between independent Buyers and Sellers for the potential purchase and sale of goods and services. Ind2B does not directly participate in transactions between Users and is not a party to any resulting commercial contracts.
Accordingly, Ind2B:
- Does not stock, own, manufacture, distribute, inspect, or deliver goods.
- Does not verify product authenticity, specifications, compliance, or fitness for purpose.
- Is not responsible for the failure, partial performance, or breach of any transaction.
- Has no control over price, payment, order terms, warranties, or after-sales service between Users.
Returns, Cancellations, and Refunds
User Responsibility
All returns, cancellations, exchanges, or refunds are subject to direct negotiation and agreement between the Buyer and Seller involved in the transaction. Ind2B does not manage or enforce any such commercial arrangements.
Platform Role
Ind2B:
- Does not accept or process return requests.
- Does not cancel orders or reverse confirmed transactions.
- Does not issue refunds, credit notes, replacements, or adjustments.
- Does not participate in chargeback claims, banking disputes, or settlement of financial losses.
Recommended Terms
Ind2B recommends that Buyers and Sellers agree in writing on:
- Return conditions, restocking fees, or penalties.
- Refund terms, including timeframes and modes of repayment.
- Return logistics, packaging standards, and freight responsibility for reverse shipments.
- Inspection procedures for returned goods.
- Liability for deterioration, damage, or loss during the return transit.
- Whether returns are allowed post-installation, use, or resale.
Expanded Business Risks in Returns and Cancellations
To safeguard commercial transactions, Users should be aware of the following potential risks:
- Operational Risk: Errors in order entry, product picking, shipping, or invoicing may cause disputes over cancellations and returns.
- Product Risk: Items may be returned in a degraded, used, or counterfeit condition, leading to financial losses or fraud.
- Financial Risk: Refunds requested after payment settlement may create cash flow strain, credit risks, or accounting issues.
- Fraud Risk: False claims of non-delivery, staged damages, or fraudulent chargebacks are common in returns abuse.
- Insurance Gaps: Standard goods-in-transit insurance may not cover reverse logistics or returns in some jurisdictions.
- Regulatory Risk: Some goods cannot be legally returned (e.g., pharmaceuticals, chemicals, food, medical devices) unless explicitly permitted under law.
- Tax Risk: GST/VAT adjustments, reversal of input credits, or documentation errors during returns can trigger audits or penalties.
- Technology Risk: System failures, server outages, or data mismatches can lead to processing errors or unrecorded cancellations.
- Logistics Risk: Loss, theft, or damage during reverse shipping is a common point of dispute, especially when carriers change hands.
- Reputational Risk: Improper handling of returns and cancellations can lead to negative reviews, blacklisting, or public complaints, impacting future business.
- Legal Risk: Unresolved return disputes may escalate into litigation, arbitration, or claims under consumer protection or unfair trade practices laws (where applicable to B2B dealings).
- Currency & Cross-Border Risk: International transactions may involve foreign exchange fluctuations or remittance blockages during refunds.
- Force Majeure: Events such as pandemics, supply chain shutdowns, port closures, or natural disasters can affect return and cancellation logistics beyond the control of either party.
Eligibility for Returns and Cancellations
Returns and cancellations are only permitted if the Seller’s internal policies allow, and such terms have been mutually agreed prior to the transaction.
Common scenarios may include:
- Delivery of damaged or defective goods.
- Delivery of incorrect, partial, or non-conforming items.
- Non-delivery within the agreed contractual timeline (subject to force majeure exclusions).
- Order cancellations before dispatch or manufacturing commencement, if mutually consented.
Returns or cancellations are generally excluded in the following cases unless expressly agreed:
- Perishable goods, time-sensitive products, or goods with limited shelf-life.
- Custom-made, made-to-order, or personalized products.
- Goods specified as “non-returnable” by the Seller at the time of sale.
- Items regulated or restricted under law for reverse logistics.
- Goods damaged due to Buyer’s mishandling, improper storage, installation, or usage.
- Goods that have been opened, installed, used, altered, or resold.
Refunds and Settlement of Payments
- Where refunds are agreed between Buyer and Seller, these will be processed directly between the parties in the mode initially agreed or as mutually determined.
- Refund timelines are subject to the Seller’s internal policy, banking systems, and any intermediary financial institutions.
- Ind2B has no liability for delay, non-payment, or disputes over refund amounts or methods.
- Sellers are advised to maintain clear records of refund transactions to comply with tax, accounting, and regulatory requirements.
Dispute Management
Commercial Disputes
Disputes regarding returns, cancellations, refund processing, product quality, or logistics damages must be resolved directly between the Buyer and Seller.
Platform Intervention
Ind2B is not a mediator or arbitrator for commercial disputes. However, in cases of:
- Alleged fraud
- Misrepresentation
- Violation of Platform policies
- Abusive or unethical conduct
Ind2B reserves the right to:
- Investigate the matter.
- Suspend or terminate the User’s account.
- Restrict access to Platform services.
- Report the matter to relevant legal authorities if necessary.
Documentation and Record-Keeping
Both Buyers and Sellers must maintain:
- Proof of delivery, returns, or exchanges.
- Correspondence records regarding returns and cancellations.
- Invoices, credit notes, debit notes, and tax adjustments where applicable.
- Photos, videos, or inspection reports in case of damage claims.
Retention of these records for a minimum of three (3) years is recommended or longer if required by local regulations.
Indemnity and Limitation of Liability
Users agree to indemnify and hold harmless Ind2B from any claims, liabilities, losses, or costs arising from:
- Transactional failures related to returns, cancellations, or refunds.
- Product defects, regulatory non-compliance, or supply chain issues.
- Financial losses, penalties, or damages incurred during dispute resolution.
- System outages, data errors, or technology disruptions affecting order management.
Ind2B’s total liability, in any event, shall be strictly limited to the extent of its Platform usage fees, if any, received for the transaction (exclusive of taxes), and in no case will Ind2B be liable for consequential, indirect, or punitive damages.
Amendments to the Policy
Ind2B may revise this Policy from time to time to address changes in business practices, legal requirements, or technological updates. Revised versions will be published on the Platform and will become effective from the specified date. Continued use of the Platform constitutes acceptance of the updated Policy.
